Shares of One 97 Communications, the parent company of Paytm, fell nearly 2% on Tuesday after 1.92 crore shares worth nearly Rs 2,949 crore changed hands in a block deal, with Resilient Asset Management BV likely to be the seller.
Netherlands-based Resilient Asset Management, wholly owned by Paytm founder and CEO Vijay Shekhar Sharma, earlier offered to sell up to 1.92 crore shares, representing about 3% of the company’s existing total share capital. At the floor price of Rs 1,535.10 per share, the base deal is valued at around Rs 2,949 crore.
What is the value of Paytm's stake sale?
The deal also includes an upsize option of up to 1.27 crore shares, or about 1.98% of Paytm’s total equity. If fully exercised, the transaction would cover 3.19 crore shares, or a 4.98% stake, worth around Rs 4,895 crore at the floor price. The floor price represents a nearly 3% discount to Paytm’s previous closing price of Rs 1,580.20.
The company later clarified that the transaction will be 100% secondary, meaning the proceeds will go to the selling shareholder and not to Paytm. This will not change the founder’s shareholding in the fintech platform.
Goldman Sachs (India) Securities Private Limited is the placement agent for the deal. The shares will be sold through one or more share sales on the screen-based trading platform of Indian stock exchanges. The term sheet also provides for a 90-day lock-up on further sale of shares by the seller after the transaction.
