CCI clears Go Digit Infoworks merger with insurer; Fairfax entity to hold 57.28% stake

Competition Commission of India (CCI) on Tuesday approved the proposed amalgamation of Go Digit Infoworks Services Pvt Ltd, the holding company of Go Digit General Insurance, with the insurer.

Under the proposed transaction, Go Digit Infoworks Services will be merged into Go Digit General Insurance Ltd (GDGIL), which will remain the surviving entity, the competition watchdog said in a release.

"Commission approves the amalgamation of Go Digit Infoworks Services Pvt Ltd with Go Digit General Insurance Ltd," CCI said in a post on X.

Go Digit Infoworks Services does not have any market-facing business operations in India or overseas, while Go Digit General Insurance provides a range of general and health insurance products and services in India, with a focus on general insurance.

Fairfax group entity to hold majority stake after merger

Following the completion of the transaction, FAL Corporation will hold a 57.28% stake in Go Digit General Insurance Ltd.

FAL Corporation is part of the Canada-based Fairfax group, which operates in property and casualty insurance, reinsurance and investment management. The group is led by billionaire Prem Watsa.

Go Digit General Insurance, one of India's new-age general insurance companies, had announced in December 2025 that its board had approved the proposal to merge its holding company, Go Digit Infoworks Services, with GDGIL.

The merger proposal was subsequently placed before the competition regulator for approval.

CCI also approves Brookfield's Oaktree acquisition

In a separate order, CCI approved the proposed acquisition of units of Oaktree Capital Group Holdings LP (OCGH) and Oaktree Equity Plan LP (OEP) by Brookfield Asset Management Ltd (BAM).

"The proposed combination envisages the indirect acquisition of units of OCGH and OEP and, therefore, the Oaktree operating group of entities by BAM," the regulator said.

BAM is a global alternative asset manager controlled by US-based Brookfield Corporation, while OCGH and OEP are part of the Oaktree Group, which provides alternative investment management services.

In another post on X, CCI said, "Commission approves acquisition of units by Brookfield Asset Management Ltd of Oaktree Capital Group Holdings, LP, and Oaktree Equity Plan, LP."

Transactions crossing certain thresholds under competition law require approval from CCI, which monitors combinations to prevent practices that may adversely affect competition and promote fair markets.
